Overview:


A rare and exciting opportunity to join a membership based social enterprise as Company Secretary. Being part of the National Health, they proud of delivering patient-led and high-quality health and social care for residents in the Kingston & Richmond area.


As Company Secretary the successful candidate will ensure that the organisation is compliant with corporate legislation; constitutional and regulatory requirements, best practice and provide legal scrutiny and expertise across all aspects of the organisation.



Responsibilities include effective and efficient management of corporate office services and Board, Governor, Member and Committee administration and support. The role will include the review of various types of contracts including services and partnerships as well as being responsible for insurance arrangements.



Candidates will need to be educated to master's degree level or hold a relevant professional qualification and be able to demonstrate significant experience in a corporate governance role.



Daily Duties include:



  • Key relationships: The Non-Executive Directors, Executive Directors, Base Team, all Members (Staff and Community) and the general public.

  • To be the Company Secretary of the Community Interest Company (CIC) and contribute generally as a member of The Base.

  • Contribute to the delivery of corporate governance strategies ensuring alignment with strategic objectives, governance, marketing and public relations priorities.

  • Contribute to the strategic development and commercial development.

  • Responsible for ensuring compliance with corporate legislation, constitutional and regulatory requirements and best practice.

  • Responsible for the legal and compliance process associated with mergers and acquisitions activity.

  • Responsible for the effective and efficient management of the Board, Board Committees, the Membership Council and other Committees and their administration and support.



Sound interesting?...you must have:



  • Master's degree Level or equivalent

  • Ideally a Membership of the Chartered Governance Institute

  • Previous experience working in a corporate governance role

  • Experience in communicating with Board Level Executives

  • Able to liaise with external regulators, financial institutions and advisers
